1. The present dispute arose out of an abortive sale and purchase agreement dated 29 January 1997 ("the Formal Agreement") whereby the plaintiff agreed to sell to the Madam Hung Lai Ping and Ms Kwok Yee Ha Flat A, 21st Floor The Panorama, No. 520-526 Castle Peak Road, Tsuen Wan, New Territories ("the Property"), at a price of HK$4,449,000. The Property was then uncompleted.
