The court held that fluctuations were included in payments despite the absence of explicit contract wording, relying on the factual matrix and parties’ conduct. The deduction for variations was agreed as a direct 20% or 29%, not cumulatively after the 36% management fee. The court rejected Wing Wo's claim for rectification of the written contract, finding no convincing proof that the document did not represent the parties’ common intent. In a related earlier contract (1992–1995), Wing Wo claimed overpayment due to a higher management fee applied by Dixie (42% versus contracted 38%). The court accepted an oral variation existed but was unsupported by consideration. However, Dixie successfully defended on the basis of waiver, given the long acceptance and conduct by Wing Wo. Consequently, Dixie was awarded approximately HK$5.76 million in the consolidated actions, while Wing Wo’s claim in the earlier contract was dismissed. Costs were reserved with specified exceptions. Appeals against the judgments were dismissed with costs.
