The court held that fluctuations were included in payments to Dixie and that variation deductions were flat 20% or 29% applied instead of increased compound deductions. Rectification of the contract was refused due to lack of convincing proof and long acquiescence. For the Tolo Highway contract, an oral agreement increasing the management fee from 38% to 42% was found, but no sufficient consideration existed; however, the doctrine of waiver prevented Wing Wo from reclaiming the difference after long acceptance by Dixie. Judgment was given for Dixie in the consolidated actions with payment of outstanding sums and minor claim adjustments, while Wing Wo's claim in the Tolo Highway action failed. Costs were ordered accordingly. Appeals dismissed on both sides.
