____________ Before: Hon Kwan J in Court Date of Hearing: 12 September 2005 Date of Judgment: 12 September 2005 _______________ J U D G M E N T _______________ 1.This is a petition to wind up a company that has been reinstated. The order for reinstatement was made by Reyes J on 29 August 2005. He gave directions for the petition to be served on the reinstated company, Celeasia Company Limited. These directions have been complied with. 2.The petition was presented by Bank of China (Hong Kong) Limited as the successor of the undertakings of the Sin Hua Bank Limited. It was founded on the amount owed to the bank in the aggregate sum of HK$4,419,843.25 with interest, under a loan secured by a mortgage executed by the company as the mortgagor. 3.A demand for the outstanding balance due under the mortgage was served on the company on 24 March 2004. The company was dissolved under section 291AA of the Companies Ordinance, Cap. 32 on 25 June 2004. 4.As I have mentioned, the company has been reinstated. No one has appeared for the company today and the debt is not contested. In the circumstances, I make an order to wind up the company. The petitioner’s costs are to be paid out of the company’s assets.
