The action concerned the allotment of 9,900 shares in the sixth defendant which were allotted to the third defendant and subsequently held under the name of the fifth defendant. The judge held that the allotment of shares was void and invalid and he held that the fifth defendant was not a bona fide purchaser for value of those shares without notice.
