The underlying proceedings are a common law derivative action (“ Action ”) brought by the plaintiff, Mr Poon Ka Man Jason (“ Jason ”), for the benefit of Smart Wave Ltd, the 2 nd defendant (“ Company ”), against the 1 st defendant, Mr Cheng Wai Tao (known as “ Ricky ”), in relation to Ricky’s conduct in setting up a number of restaurants each held by one of the companies joined in the Action as the 3 rd to 31 st defendants (“ D3 ” to “ D31 ”).
