On 28 August 2003, the 2 nd , 3 rd and 4 th Defendants as directors of the 1 st Defendant purportedly passed a board resolution under Section 228A of the Companies Ordinance to wind up the 1 st Defendant. The board resolution was challenged by the Plaintiff, the 74.45% shareholder of the 1 st Defendant.
