Court of Final Appeal
The plaintiffs are liquidators of Tenwow International Holdings Limited (a Cayman-incorporated company listed in Hong Kong, engaged in beverage manufacturing in the Mainland) and its wholly-owned Hong Kong subsidiary Nan Pu International Limited. The defendants are PwC HK (auditor for 2013-2017) and PwC ZT (Mainland component auditor). The liquidators allege audit negligence resulting in undetected defalcations and financial misstatements causing losses exceeding RMB 3.1 billion. PwC ZT holds 1,513 audit working papers ('D2 Documents') in its Shanghai office, including on its proprietary audit software platform. PwC ZT maintains that Mainland law prohibits transfer of these documents to Hong Kong without approval. The Ministry of Finance confirmed it could not approve such transfer and indicated the appropriate channel was through mutual judicial assistance under the Mutual Arrangement.
