BGA Holdings Limited was incorporated on 16 December 2009 as a joint venture between PBM Asset Management Ltd (49%) and Beibu Gulf Holding (Hong Kong) Company Limited (51%). By February 2016, the 51% had been transferred to Bright Good Asia Limited (45%) and Polyrise Team Limited (6%), entities beneficially owned or controlled by Mr Chu Kong. PBM, the sole creditor claiming over US$36.3 million, petitioned to wind up the Company on 23 August 2019. The winding-up was ordered on the just and equitable ground of insolvency on 6 December 2021 based on the unpaid PBM Loan. At the creditors' meeting on 13 January 2022, Greenwood (of BDO) and Bailey (of EY) were nominated as liquidators and no committee of inspection (COI) was desired; at the contributories' meeting, Mr Arab and Mr Wong were nominated. The Official Receiver supported the appointment of Greenwood and Bailey given their detailed knowledge of the wider Lau/Chu dispute (they were the Ocean liquidators) and the pending recovery action in HCA 631/2022 against Chu and his associates concerning the 'Ausca' and 'Lohas' Questionable Transactions.

The plaintiff commenced her action against the defendant in the District Court in 2022 under DCCJ 127/2022 (“ the Action ”). Thereafter, relevantly:

On 3 June 2025, this court handed down a judgment ( [2025] HKCA 512 ) dismissing the applicant’s appeal against the decision of Deputy High Court Judge To given on 23 February 2024 dismissing his application for leave to apply for judicial review.

2024年5月6日，原訟法庭法官高浩文頒發命令，駁回申請人司法覆核許可申請 (「 該命令 」)。

原告人於2025年1月17日發出傳票（「 該傳票 」），就區域法院暫委法官劉恩沛（「 劉法官 」）於2025年1月10日的判決, 向上訴法庭提出上訴許可申請。2025年1月10日的判決只是原告人的上訴許可申請的判決 (「 該上訴許可申請判決 」), 而並非針對劉法官於2024年5月23日裁定原告人敗訴，並撤銷原告人的申索頒下的判案書 (「 該判決 」)。本庭認為，正確的程序是將該傳票的申請，視為原告人就劉法官於2024年5月23日的該判決向本庭提出上訴許可申請, 而就此, 法庭於2025年2月5日已經作出適當指示。
