1.本案的申請人是好順意大廈(“該大廈”)的業主立案法團,答辯人是該大廈B座19樓6室及相連天台(“該天台”)的聯權共有人蔡先生及陳女士。申請人向法庭申請禁制令,要求進入答辯人的天台就防水層進行維修工程。本席先考慮本案的背景。
2.根據申請書,該大廈於2010年11月1日進行大廈整體性維修,其中包括頂樓的天面防水層工程(“該工程”)。天面部份的維修,包括該天台的地方。但答辯人拒絕申請人的承建商進入該天台,所以這部份的防水工程不能進行。
3.申請人於2012年8月21日,向屯門裁判法院的施萬德署理主任裁判官,根據建築物管理條例第40條申請手令。施萬德裁判官頒下手令,批准申請人進入該天台,及可使用武力進入,以進行該大廈公共部份的維修保養或更新。
4.申請人於2012年9月7日,由其代表律師會同警務人員,到現場進行維修。但答辯人並不合作,並採取敵對及激烈的反抗。結果,申請人雖然可以進入該天台,但在答辯人之一的蔡先生干預下,承建商無法進行維修工程。
5.申請人現向土地審裁處作出本申請,要求頒下禁制令禁止兩位答辯人進入該天台一星期,使入屋維修令順利執行,並向答辯人追討申請手令所牽涉的費用。
6.在發出申請後,申請人發出傳票,要求本處發出臨時禁制令,禁止答辯人等在發出命令後14天內進入該天台。
7.代表申請人的蕭大律師又向法庭陳述,作為交替申請,可以修改禁制令的內容為答辯人須在命令發出的14日內,容許申請人及或獲其授權人士,在該14日期間內的每日早上9時至下午6時進入該天台部份,進行大廈天面公眾防水層工程及相關的工作。
8.答辯人由詹律師代表,反對申請。
9.申請人存檔了兩份誓章,以支持他們的申請。第一份誓章是張潔雯的誓章。張女士是申請人的管理委員會的主席。她呈堂了該工程的資料,包括與承建商簽署的合約,內容也包括該大廈天面防水層的維修工程。
10.她又呈堂了由屯門裁判法院頒布的入屋手令,並解釋在2012年9月7日進入該天台進行維修的過程中,雖然申請人的律師及警務人員均在場,及向答辯人解釋,但仍遭到答辯人強烈的抗拒,所以無法開展該天台防水層的維修工程。
11.張女士指答辯人透過其代表律師,向屯門裁判法院申請覆核推翻入屋手令,但遭裁判官拒絕。
12.本席参考主任裁判官的判決,相信裁判官拒絕覆核的理由,是行使覆核權力的時限已過。所以裁判官沒有就答辯人所提出的事實因由作出裁斷。但答辯人也沒有向高等法院申請就手令作司法覆核。
13.申請人在2012年9月20日,再次會同律師及警務人員嘗試進入該天台以進行維修工程,仍然遭到答辯人的抗拒,所以未能進行維修。
14.申請人在2012年10月向屯門裁判法院申請,以答辯人不服從手令,嘗試開展藐視法庭的申請,但裁判法院質疑是否有權審理這一項法律程序。其後申請人放棄申請,並改向土地審裁處申請禁制令。
15.張女士又呈堂該大廈的公契,其中申請人依賴的條文,包括:
5(1) Full right and privilege for the Manager with or without agents, surveyors, workmen and others at all reasonable times on notice and in case of emergency without notice to enter into and upon each Unit for the purposes of inspecting, examining, rebuilding, repairing, removing, maintaining, cleansing, painting or decorating the Lot and the Building or any part of parts thereof or any sewers, drains, watercourses, cables, pipes, wires or services therein or any other apparatus and equipment used or installed for the benefit of the Lot and the Building or any of them or any part thereof as part of the amenities thereof and not by any individual Owner for his own purposes or enjoyment; and
9.01(38) To do all things which the Manager shall in its discretion deem necessary or desirable for the purposes of maintaining and improving all facilities and services in or on the Lot and the Building for the better enjoyment or use of the Lot and the Building by its Owners, tenants, occupiers and their licensees.
16.申請人所依賴的第二份誓章是姚尚文的誓詞,他是鴻豐管理有限公司,即申請人的管理公司的一位物業經理,負責該大廈的日常事務及該大廈之維修工程。
17.姚先生指這一次的維修工程,防水層維修是經過工程顧問勘察樓宇後,認為嚴重老化,因此作出更換防水牆的專業建議,並獲業主大會通過。又解釋,為解決天台漏水問題,顧問公司提供意見,認為最穩當的做法是更換全部老化或破損的防水層。如果只作部份修補,效果通常不會持久或甚至未能解決問題。
18.姚先生指其他頂層業主已讓承建商完成工程,但因答辯人不合作,無法依工程合約所定時間完成工程。又引述合約條文,指如果承建商未能在2012年12月20日或之前施工,承建商將向申請人追討原有承做單位價格,及收附加費。
19.在陳詞時,代表申請人的蕭大律師又向法庭呈交了一封由顧問提交的信件,指在天台的地磚下有防水層。代表答辯人的詹律師反對本席收錄這份文件,作為證據的一部份,本席下文處理。
20.答辯人亦存檔了蔡祖沛及陳福群的聯合誓章。根據答辯人的誓章,他們指該天台是屬於答辯人私人擁有,並沒有公用設施。所以申請人無權進入該天台。他們又呈堂一些照片,指根據他們觀察所見,該天台的表面並沒有防水層。
21.蔡先生又指,根據公契的條文,答辯人有責任維修該天台,他們也在近期進行了維修,所以並沒有需要由申請人再次進行維修。有關的公契條文如下:
MAIN ROOF
The Owners for the time being of the Domestic Units on the 19th floor of the Building shall have the exclusive right to hold, use, occupy and enjoy the respective portions of the main roofs of the Building immediately above their Domestic Units but subject to the restrictions as provided in Schedule II and shall be solely responsible for the repair and maintenance thereof. The Registered Owner, its successors and all person authorized by it shall have the exclusive right to use or otherwise dispose of or deal with the remaining portions of the main roofs of the Building for advertising or other purposes and no other person or Owner shall erect affix or display any structure and/or advertising or other sign on or from the main roof or any part(s) thereof without the written consent of the Registered Owner. Save as aforesaid no Owner shall have any right to use the main roofs of the Building or any part(s) thereof for any purpose whatsoever except escape in the case of fire and access for the purpose of repairing, maintaining and servicing the Building or any part thereof or any of their apparatus or equipment.
22.但答辯人沒有交代他們所進行了的維修工程,也沒有文件支持。
23.以上的證供,雙方並沒有大的爭議;所主要爭議的問題,是該天台上有沒有防水層,及/或有沒有公共設施需要進行維修或加設。當然,天台並不單止天台的表面,也包括天台的地磚及其下面的任何建設。
24.詹律師第一個提出的爭議問題,是申請人經已透過裁判法院獲得手令,可進入該天台,法庭無須再頒布禁制令,因為申請人已經可以進行工程。詹律師又引述申請人在庭上播出的錄影片段,指申請人透過手令可以進入該天台,而警務人員也可以控制蔡先生的行為。
25.錄影片段顯示,當時蔡先生以行動阻止工人移動在天台上的物件,基本上他們無法進行工程。而警務人員也用溫和的方法勸止蔡先生及安排他停留在樓梯的一角,但在這時間工人也沒有進行工程,以免蔡先生情緒過份激動。
26.在聽取詹律師的陳詞時,本席向他了解,答辯人是否表示會讓申請人進入天台,詹律師的答案是否定的。所以他這個爭議,應該只是法律程序的爭議。
27.的確,在開始審訊時,本席也向蕭大律師提問,在他們獲得手令後,法庭是否有需要重複提供濟助。
28.蕭大律師引述案例,包括Secretary for Justice v Ocean Technology Limited HCMP 71/2008,指據普通法的原則,為協助一個刑事程序,法庭可以頒下一個民事法的禁制令。但本席相信這一個比較,並不適切。要分析這個問題,本席須由建築物管理條例第40條的內容開始。條文内容如下:
(1) 管理委員會委員以及獲管理委員會就下述事項授權的人,可在給予單位業主或佔用人合理通知後,在任何合理時間內進入該單位,藉以─
(a) 視察、修理、保養或翻新─
(i) 單位內的任何公用部分;或
(ii) 單位內的任何其他財物而其狀況已對或可對公用部分或其他業主造成不利影響者;
(b) 消除已對或可對公用部分或其他業主造成不利影響的危險情況或煩擾。
(2) 裁判官如信納經宣誓而作的告發,認為必須讓根據第(1)款有權進入某一單位的人破門進入該單位,即可發出手令,授權該人在警務人員在場的情況下破門進入該單位。
(3) 儘管有第19(2)條的規定,管理委員會因行使第(1)(a)(ii)或(b)款授予的權力而承付的任何費用,可由法團向招致承付該費用的單位的業主以民事債項方式追討。
29.第40(1)條的用意,明顯是容許管理委員會在法例訂明有需要的情況下,可以進入個別人士的單位。個別人士可能對委員會的決定有爭議或對抗,業主立案法團當然可以透過土地審裁處及其他法院申請禁制令以便可以進入個別人士的地方。
30.關於第40(2) 條手令的設定,本席相信立法者的用意,是容許委員會在急切需要的情況下,可以單方面向一位裁判官申請手令,以進入有關的處所。本席留意到該條文並沒有訂明,如果業主抵抗委員會進入是否有懲罰,也沒有說明反對的業主有什麼渠道可以申請撤銷手令。相信這不是立法時的遺漏,而是第40(2)條的作用,只是使委員會在緊急情况時,可以藉手令破門進入而不會觸犯刑法。例如有一家人外遊未返,因室內喉管破裂而漏水,影響公共設施,委員會需要進入該住所進行維修,最方便及快捷的方法應該是向一位裁判官申請破門入屋手令。但如果委員會與該住戶意見不同,住戶反對委員會進入並鎖上大門,裁判官頒下手令,只會使破門進入不會干犯刑事法例,但在進入後是否可以進行那些工程,及對公契的分析,仍然需要由民事法庭進行仲裁及決定。
31.根據案例,也有裁判官將手令的申請押後,容許委員會與相關業主就是否應該進入進行訴訟(參考HCMP 2505/2011)。所以,雖然屯門裁判法院曾頒下手令,只是入屋的許可。答辯人堅持申請人沒有合法權力在該天台內進行維修,這個爭議必須由民事法庭進行審訊。所以,申請人向土地審裁處申請禁制令並非架床疊屋的做法。
32.在澄清這個程序上的問題,本席裁定應該繼續考慮應否頒布禁制令。由於今次申請的是臨時禁制令,蕭大律師也引述案例,提醒本席所需要考慮的事項。是否授予禁制令所考慮的原則,本席參考香港民事程序2013年版第29/1/9段開始的論說,特别是Lord Diplock 在American Cyanamid Co. v Ethicon Ltd [1975] AC 396一案的判案理由,清楚說明法庭在授予禁制令前所需考慮的各項因素,本席無需重複。只想借用陸啟康法官(當時職銜)在Han Palace Expertized Services Ltd t/a Health Feet for Life v Lam Wing Shing DCCJ 1954/2008判詞内的分析
4. 根據權威性案例 American Cyanamid v. Ethicon Ltd. [1975] 1 All ER 504所定下的原則,在考慮臨時禁制令的申請時,法庭應該考慮以下的因素:
(一)案件是否存有嚴正審理的問題;
(二)假如被告人真的違約或做出其他的侵權行為,金錢對原告人的補償是否足夠;及
(三)臨時禁制令作出與否對與訟雙方所造成的影響。
33.又今次申請人所要求法庭頒布的,是強制性禁制令。根據馬道立法官(當時職銜)在Music Advance Ltd v IO of Argyle Centre Phase I [2010] 2 HKLRD 1041的判案書,
12. I would, however, only highlight one aspect. Where, as in the present case, the plaintiffs seek an interlocutory mandatory injunction (that is, an order requiring the defendant to do something, in contrast to a prohibitory injunction which restrains the defendant from doing something), the following matters should be borne in mind as being the court's approach : -
(1) In the case of interlocutory mandatory injunctions, it is often said or assumed that a court will not grant one unless it feels a high degree of assurance that at the trial of the action, it will be shown that the injunction was rightly granted: see Shepherd Homes Ltd v. Sandham [1971] Ch 340 at 351. This has been explained and sometimes understood as meaning that in the case of an interlocutory mandatory injunction, the applicant's case on the merits has to be made out to a higher standard of proof than in the case of prohibitory injunction: see the Court of Appeal's observations in TKI Limited v. New Happy Limited [1995] 1 HKC 551 at 554 B-D.
(2) Broad statements such as the above must, however, be properly put in context.
(3) The basic approach to interlocutory injunctions, whether mandatory or prohibitory, is the same. Section 21L of the High Court Ordinance, Chapter 4 makes no distinction between these two types of injunctions and simply states that interlocutory injunctions may be granted if it appears to be just or convenient to do so.
(4) At the interlocutory injunction stage, the principal concern of the court is that it might make a wrong decision in the sense that after trial, the party to whom an interlocutory injunction has been granted may lose or the party who has been refused one, may win. The court will therefore take whichever course appears to carry the lower risk of injustice if it should turn out that it is wrong. This "fundamental" principle is the source of the guidelines that have evolved for the determination of interlocutory injunctions (included are, of course, the American Cyanamid guidelines) and therefore, in the application of any guidelines, sight must not be lost of this principle. See here: Films Rover International Ltd v. Cannon Films Sales Ltd [1987] 1 WLR 670 at 680 D-G, in a passage from the judgment of Hoffman J which was approved by the House of Lords in R v. Secretary of State for Transport ex parte Factortame Limited (No.2) [1991] 1 AC 603 and recently reiterated in the English Court of Appeal decision of Zockoll Group Ltd v. Mercury Communications Ltd [1998] FSR 354 (which Mr Au was kind enough to place before me).
(5) Two common guidelines are of course the consideration of the merits of the plaintiffs' claim and the balance of convenience. Here, it is of course easy to see at once how they are linked to the fundamental principle: there must be a risk of injustice if the plaintiff cannot even establish a serious question to be tried or that one or the other party will be put to substantial inconvenience or prejudice if an interlocutory injunction were or were not granted.
(6) In the case of interlocutory mandatory injunctions, the risk of injustice (being wrong in the sense referred to above) can be quite acute. In Films Rover International Limited, it was put thus by Hoffman J at 681 B-E:
"In Shepherd Homes Ltd. v. Sandham, Megarry J. spelled out some of the reasons why mandatory injunctions generally carry a higher risk of injustice if granted at the interlocutory stage : they usually go further than the preservation of the status quo by requiring a party to take some new positive step or undo what he has done in the past; an order requiring a party to take positive steps usually causes more waste of time and money if it turns out to have been wrongly granted than an order which merely causes delay by restraining him from doing something which it appears at the trial he was entitled to do; a mandatory order usually gives a party the whole of the relief which he claims in the writ and makes it unlikely that there will be a trial. One could add other reasons, such as that mandatory injunctions (whether interlocutory or final) are often difficult to formulate with sufficient precision to be enforceable. In addition to all these practical considerations, there is also what might be loosely called a 'due process' question. An order requiring someone to do something is usually perceived as a more intrusive exercise of the coercive power of the state than an order requiring him temporarily to refrain from action. The court is therefore more reluctant to make such an order against a party who has not had the protection of a full hearing at trial."
(7) This passage in my view explains just why it is that generally a court will have to feel a high degree of assurance that at the trial of an action it will be shown that the interlocutory injunction was rightly granted before an interlocutory mandatory injunction will be given; all this being an exercise in assessing the strength of the plaintiffs' case: see sub-paragraph(1) above. However, I emphasize that this is only generally the court's approach. Where it is shown, as an exception to this general approach, that the case is one in which the withholding of on interlocutory mandatory injunction would in fact carry a greater risk of injustice than granting it even though the court does not feel the "high degree of assurance" as aforesaid, it would be right to grant an interlocutory mandatory injunction: see Films Rover International Limited at 681 A-B.
(8) This of course brings into focus the balance of convenience. Thus, if a plaintiff in seeking an interlocutory mandatory injunction cannot demonstrate more than a serious question to be tried, it will have to show that the balance of convenience tilts so much in its favour that justice requires such an injunction to be granted, even taking into account those aspects of an interlocutory mandatory injunction expressed by Hoffman J in Films Rover International Limited.
(9) At no stage, however, in the consideration of the matter does the court lose sight of the practical realities of the situation to which the injunction will apply: see NWL Limited v. Woods [1979] 1 WLR 1294 at 1306C per Lord Diplock.
34.所以,根據馬法官的判詞,當申請人向法庭申請一臨時強制性禁制令的時候,除了要顯示案件存有嚴正審理的問題,更需要證明在審訊時,申請人有高的勝訴理據。或在考慮對雙方所造成的影響時,可證明不發出禁制令將會比發出禁制令造成更大的不公義。
35.而且,若果作出臨時強制性禁制令,申請經已有效地處理了與答辯人的爭議,法庭就要致力避免造成不公義,而申請人也要比起一般臨時禁制令的申請提出更強的理據(參考Sim Kon Fah v JBPB & Co [2011] 4 HKLRD 45)。本席同意以上判詞的分析,並以此考慮申請。
36.當然答辯人並沒有否認曾拒絕申請人的承建商進入該天台,而根據錄影片段蔡先生以行動阻止他們的工人進行工程。
37.詹律師沒有提出理由,指根據公契及/或建築物管理條例,申請人不可以在該天台維修公共設施。答辯人最主要的反對理由,是天台上並沒有防水層或公共設施。雖然答辯人知道這是他主要的爭議點,但並沒有提供任何專家報告顯示大廈有沒有防水層。他所依賴的是個人的目測及一些照片,但他並不是專家。
38.申請人也沒有正式的專家證據。他們所主要依賴的,是姚先生證供引述,在進行維修前透過專業測計師對該大廈評估的報告,及防水層老化的現象。姚先生的證供也指出其他的天台部份已進行防水層的維修,也支持天台上有防水層的證據。
39.至於顧問公司發出的證明書,本席同意蕭大律師的陳述,雖然申請人提供顧問專家的證明,是在審訊當日,但這個問題基本上是雙方知道需要爭議的事項,而且,只是加強了姚先生的上述證供。本席看不到收錄文件會對答辯人構成任何不公。而且,根據土地審裁處條例第10(6)條,審裁處可接納任何陳述,文件,資料或事宜為證據,不論該陳述,文件,資料或事宜在其他情況下會否被接納為證據,並可按情況而權衡其作為證據的分量。所以,批准呈堂這份文件作申請人的證據。
40.在現階段,證據顯示天台上有防水層。詹律師也不爭議,大厦的防水層是一項公共設施。但本申請的裁定的重點,不在乎該天台是否有防水層的裁決。
41.根據蕭大律師的陳述,他們有權進入個別業主的單位的權力,不限於需要維修的部份是公用部份,申請人只需證明答辯人的單位有需要維修,否則或會對其他業主做成不利影響。蕭大律師同時引用建築物管理條例第40條,及公契的條文,指申請人有責任管理和維修大廈。根據公契第5(1)條,公契的經理人有權在給予答辯人合理通知後,在合理時間內進入他們的單位,進行視察、修理、保養或翻新。公契9.01(38) 段正好說明,經理人有權進行一些對該大廈有益的維修及改建。這兩點理由,給予申請人很闊的權力,可以進入個別業主的單位以進行維修工程。整個天台的防水維修是對該大廈有益的維修或加建,而申請人的律師經已向答辯人作出合理的要求,正乎合公契條文,申請人有權進入。
42.答辯人則指該天台的獨有管有權是他的,而且,根據公契條文,他有責任保養天台。
43.但在多層大廈,個別業主可能擁有某一個單位的獨自管有權,但這個權力的享用,必須依據公契的條文及受條文限制,包括容許其他業主依照公契對該大廈進行維修保養。原則上整座大廈是一個個體,特别是大廈的結構,如天台、外牆、樑柱等。而該天台是該大廈天台的一部份,與其他天台是一個共體。
44.從另一個角度去考慮,今次進行大維修是通過業主大會議決,這必然是對大廈有利的設施。根據工程合約,今次進行的防水層是覆蓋整天台,工程是公共設施,及對該大廈有利的公共設施。雖然答辯人對該天台有管有權,仍須根據上述建築物管理條例及公契條文,容許申請人進入該天台進行關係該大廈整體利益的工程。無論該大廈是否有防水層,法團議決一些防水工程必然是在公契賦予他們權力之內。本席看不到有任何反對的理由不容許他們進入該天台進行該工程。
45.依以上分析,明顯本案有嚴正審理的問題,而且申請人有相當高的勝數機會。
46.再者,考慮頒布禁制令對雙方構成的不方便時,答辯人只是需要在14天內容許申請人的工人進入該天台進行工程,並沒有太大的不方便。工程完畢後,他們的天台基本上並沒有改變。相反,拒絕這禁制令,申請人在其他業主的天台上完成的防水層工序根本上不能完整,影響防漏的效果,浪費大廈的資源。這損失不是金錢可以補償。
47.在審訊時,答辯人也試圖提出他對維修工程的意見。但不爭的事,該工程是得到業主大會通過進行。如果這議决有問題,答辯人須在大會上推翻議決,或作出適當的呈請。這也不是本案爭議的事項。
48.基於以上的考慮,本席同意頒布禁制令。但申請人原有的禁制令的要求是答辯人在14日內不得進入該天台,這限制太大。本席採納蕭大律師的修改,指令答辯人在收到本命令的14日内容許申請人及其指定的承建商及工人在每日上午9時至下午6時進入該天台進行工程。申請人也須在14日内向土地審裁處申請提訊,以盡快安排交換證供及審訊。
49.本席又頒暫令,答辯人須付申請人本申請訟費,包括大律師證書,金額如不能達成協議,由聆案官以區域法院基準評定。暫令在14日後成為正式命令。
